Terms of Service
In short. Foldaway is made and licensed by WATRIX LLC (WATRIX合同会社), a company registered in Japan. Purchases are not made from us directly: our reseller Paddle is the Merchant of Record and sells the licence to you. A licence lets you run Foldaway on your own Macs; it does not transfer ownership of the software. Both plans are a one-time purchase and neither licence expires. The only difference between the 1 Year and the Lifetime plan is how long you keep receiving new versions (updates): 366 days from issue, or indefinitely.
1. Who you are contracting with
These Terms of Service (the "Terms") are an agreement between you and WATRIX LLC ("WATRIX", "we", "us"), a limited liability company (合同会社) registered in Japan, in respect of the Foldaway application for macOS, its updates, and the website at foldaway.app (together, the "Software" and the "Site").
Your purchase of a licence is a separate transaction with Paddle, which acts as our authorised reseller and Merchant of Record. Depending on where you are, your purchase contract is with Paddle.com Market Limited (England and Wales, company number 8172165, 30 Old Bailey, London EC4M 7AU), Paddle.com Inc. (United States) or Paddle.com (Canada) Ltd. Paddle takes payment, issues the invoice, handles sales tax and VAT, and processes refunds. Paddle's Buyer Terms apply to that transaction alongside these Terms. Where the two conflict on payment, invoicing or tax, Paddle's terms govern that subject matter.
By downloading, installing or using the Software, you accept these Terms. If you do not accept them, do not use the Software.
2. Free trial
Foldaway runs with full functionality for 14 days from first launch. No account, sign-up or payment method is required for the trial. When the trial ends, the hiding function stops; your settings and groups remain on your Mac and are restored as soon as a valid licence key is entered.
3. Licence grant
Subject to these Terms and to payment of the applicable fee, we grant you a non-exclusive, non-transferable, non-sublicensable licence to install and use the Software for your own personal or internal business purposes, on the following terms.

Neither plan is a subscription. Nothing renews automatically and we will not charge you again unless you make a new purchase. The plans differ only in the length of the update window and the number of devices; neither licence is limited in time as to use. "Lifetime" refers to the lifetime of the Software, not of any person: it means we will not charge you again for the licence, and it does not oblige us to publish updates or to keep the Software available indefinitely (see section 8).
Prices are shown in US dollars and exclude any sales tax, VAT or consumption tax, which Paddle calculates and adds at checkout according to your location.
4. Licence keys
Your licence key is issued to the email address recorded for your purchase and is personal to you. Activation is verified on your Mac using a cryptographic signature and works offline; we do not operate a licence server and do not count your activations remotely. You must not publish, resell, share or otherwise distribute your key. If a key is distributed publicly, we may revoke it in a future release of the Software.
If you lose your key, contact support@watrix.jp from the address you purchased with and we will reissue it.
5. What you may not do
- Copy, modify, translate or create derivative works of the Software, except to the extent that applicable law expressly permits it despite this restriction.
- Reverse engineer, decompile or disassemble the Software, or attempt to derive its source code or signing keys, except to the extent that applicable law expressly permits it despite this restriction.
- Circumvent, disable or tamper with the trial period, licence validation or update mechanism, or generate or use a key that we did not issue.
- Rent, lease, lend, resell, sublicense or distribute the Software or your licence key.
- Remove or obscure any copyright, trade mark or other proprietary notice.
- Use the Software in breach of any applicable law, or in breach of Apple's terms for macOS.
6. Ownership
The Software is licensed, not sold. WATRIX and its licensors retain all right, title and interest in and to the Software, including all copyright and other intellectual property rights. The name "Foldaway", the Foldaway icon and the WATRIX name are ours. Nothing in these Terms grants you any right to use them, other than to identify the Software as licensed to you.
"Mac", "macOS" and "Apple" are trade marks of Apple Inc. "Bartender" and "Ice" are the products of their respective owners. We are not affiliated with, endorsed by or sponsored by any of them; those names are used only to describe compatibility or to compare products factually.
7. Your Mac, your data
Foldaway needs macOS Accessibility permission to find and fold menu bar icons, and optionally Screen Recording permission to draw each app's real menu bar glyph in the panel. The Software does not collect, transmit or store the contents of your screen or your menu bar. Its only outbound network request is a periodic check for updates. See our Privacy Policy.
8. Updates, changes and availability
We may release updates, and updates are delivered through the Software's built-in updater. We may add, change or remove features, and we may discontinue the Software. If we discontinue the Software, licences already issued do not lapse: they continue to work, with no time limit, on the versions you have installed, but we will not be obliged to issue further updates. Because the version you have installed keeps working, we do not refund on account of discontinuation (see section 3 of the Refund Policy).
The Site and the update service are provided as they are, and we do not guarantee that they will be available without interruption.
9. Warranties and disclaimer
We provide the Software with reasonable skill and care. Beyond that, and to the fullest extent permitted by applicable law, the Software is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Software will be error-free, uninterrupted, or compatible with any future version of macOS or with any third-party application.
Some jurisdictions do not allow the exclusion of implied warranties or of consumers' statutory rights. Nothing in these Terms excludes or limits any right you have as a consumer that cannot be excluded or limited under the law of your country of residence, including under the Japanese Consumer Contract Act (消費者契約法) and, in the EEA and the UK, statutory conformity rights for digital content.
10. Limitation of liability
To the fullest extent permitted by applicable law, and except in cases of our wilful misconduct or gross negligence, or of death or personal injury caused by our negligence:
- We are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profit, revenue, business, goodwill or data, however caused.
- Our total aggregate liability arising out of or in connection with the Software and these Terms is limited to the amount you actually paid for your licence in the 12 months before the event giving rise to the liability.
This section does not limit any liability that cannot be limited under applicable law, including under the Japanese Consumer Contract Act.
11. Termination
You may stop using the Software at any time by uninstalling it. We may terminate your licence if you materially breach these Terms — in particular section 5 — and do not cure the breach within 14 days of our written notice. On termination you must stop using the Software and delete all copies. Sections 6, 9, 10, 12 and 13 survive termination.
Termination for breach does not by itself entitle you to a refund. Refunds are dealt with in our Refund Policy.
12. Changes to these Terms
We may amend these Terms — for example to reflect new features, or a change in law. We will post the amended Terms on this page with a new effective date. Where a change materially reduces your rights, it applies only to purchases made after the new effective date; the version in force when you bought your licence continues to govern that purchase. Continuing to use the Software after the effective date means you accept the amended Terms.
13. Governing law and jurisdiction
These Terms are governed by the laws of Japan, without regard to their conflict of laws rules. The Tokyo District Court (東京地方裁判所) shall have exclusive jurisdiction as the court of first instance over any dispute arising out of or in connection with these Terms.
If you are a consumer, this does not deprive you of the protection of the mandatory consumer-protection rules of your country of habitual residence, and it does not prevent you from bringing proceedings in the courts of that country where the law gives you that right.
14. Miscellaneous
If any provision of these Terms is held unenforceable, the rest remains in force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them as part of a merger, acquisition or sale of assets, on notice to you. These Terms, together with the Privacy Policy and the Refund Policy, are the entire agreement between us in respect of the Software.
